Ambiguities Clause in Contracts
This contract clause says that any ambiguous language in the contract shall be interpreted according to its fair meaning and not strictly for or against any party. This is particularly important if you draft the contract because ambiguities in a contract are typically construed against the drafter. On the other hand, if the other party drafts the contract, you would not want to include this clause.
Here is a sample clause:
Ambiguities. Each party and its counsel have participated fully in the review and revision of this Agreement. Any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not apply in interpreting this Agreement. The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against any party.
