Developing a Preferred Stock Purchase Agreement is mandatory should your pre-public company wish to grant capital stock to investors in exchange for a specified dollar amount. Preferred stock provides for a specific dividend that is paid before any dividends are paid to common stock holders, and it takes precedence over common stock in the event of any liquidation of the company.
