Hologic, Inc. (NASDAQ: HOLX) and Siemens AG (NYSE:SI), today announced they have finalized the terms of the strategic alliance contemplated by their letter of intent entered into last November 2001.
Within the alliance, the companies have signed three separate agreements focused on the advancement of digital mammography technology:
- Siemens will source exclusively Hologic's DirectRay(TM) digital mammography flat detector technology for Siemens' Full Field Digital Mammography (FFDM) system. - Hologic will license advanced image processing and display software developed by MeVis BreastCare GmbH&Co. KG, a Siemens affiliate. - Siemens will be supported by Hologic to accelerate the time-to-market schedule for Siemens' FFDM product incorporating Hologic's DirectRay technology.
Under the DirectRay Supply Agreement, Hologic is adapting its patented DirectRay amorphous selenium direct-to-digital mammography technology to Siemens' FFDM system. During the term of this five-year agreement, Siemens has agreed to purchase its digital panel requirements for these systems exclusively from Hologic. Siemens will receive support from Hologic in its efforts to release the Siemens Digital Mammography system to the market, including the right to refer to Hologic's PMA applications.
In the other key part of the alliance, Hologic is cooperating with MeVis BreastCare GmbH&Co. KG, a Siemens affiliate, to source advanced image processing and display software aimed at providing an efficient, integrated approach to breast cancer detection. Such software is the core platform to construct a dedicated physician's workstation designed to improve workflow and patient throughput of FFDM systems.
