TEAM Communications Group Inc. to Acquire DandelionDistribution Ltd. for US$5 Million.

LOS ANGELES--(BUSINESS WIRE)--June 9, 1999--

Strategic European Partnership Expands TEAM's Production

and Distribution Presence Globally While Increasing

TEAM Library to Over 2,500 Hours

TEAM Communications Group Inc. (Nasdaq:TMTV), a leading television production

and distribution company, announced it has signed a letter of intent to acquire Dandelion Distribution Limited, the 23-year-old UK-based TV and film distributor and producer for US$5 million in cash and TEAM securities. Drew S. Levin, TEAM's chairman and chief executive officer made the announcement today. The acquisition of Dandelion, which provides TEAM with a sales and production office in Europe, gives TEAM an even stronger foundation in the international production and distribution arena. With this strategic partnership, TEAM's library will now expand to over 2,500 hours of programming and provide the company with an initial base to create EC content programming.

Subject to the definitive agreement and due diligence, the purchase price is US$5 million. Fifty percent of the acquisition cost is to be paid in cash over a two-year period and fifty percent is to be paid in TEAM common stock with Rule144 restrictions. The companies have set a deadline of 30 days to finalize the definitive agreement.

Dandelion, recognized as a leading independent distributor of US and European programming in the UK, will become a division of TEAM and will continue to operate under its existing banner. Noel Cronin, founder and chief executive of Dandelion, will retain his existing position overseeing productions, co-productions and acquisitions that carry the Dandelion name, as well as taking on the added responsibilities of managing director of TEAM's European operations which will include the packaging and distribution of TEAM's programs, overseeing co-productions and expansion into Europe while focusing on opportunities that will meet TEAM's corporate growth objectives.
