Big Business Contest
Official Rules
NO PURCHASE IS NECESSARY TO ENTER OR WIN.
Eligibility: The Big Business Contest (the “Contest”) is open to businesses in good standing located within the fifty (50) United States and the District of Columbia that have been in operation for at least one (1) year prior to the Contest start date. Businesses and their respective parents, subsidiaries, affiliates that have any type of ongoing contractual relationship with Maui Millionaires, LLC (“MM”) and AllBusiness.com, Inc. (“AB”) (collectively, the “Sponsors”), or their respective employees, promotional partners, distributors, prize suppliers, and advertising and promotion agencies, and their immediate families (spouse, parents, children, siblings, and their respective spouses, regardless of where they reside) and individuals living in the same households as such employees, whether or not related, are ineligible to enter or win the Contest. Void outside the fifty United States and the District of Columbia and where prohibited or restricted by law. Contest is subject to all applicable federal, state and local laws.
The person entering on behalf of a business (“Entrant”) must be an officer or owner authorized to bind the business to these Officials Rules and any other agreements contemplated by these Official Rules. It is an Entrant’s sole responsibility to review and understand the policies, by-laws and other requirements of the business on whose behalf she or he is entering regarding the ability of the business to participate in promotions such as this. If an Entrant is participating in violation of the business’s policies, the business may be disqualified and the entry void. Sponsors disclaim any and all liability or responsibility for disputes arising as a result of the activities of the Entrant, and the business on whose behalf an Entrant has participated agrees to indemnify, release and hold harmless the Sponsors from any claims arising from such participation. If any dispute arises with respect to a business selected as a potential winner, Sponsors may, in their sole discretion, disqualify the business and award the prize to another business.
Entrant understands and agrees that, if selected as a winner, the business on whose behalf he or she is entering shall be responsible for and will be required to incur all costs and provide any and all start up, working, and other capital necessary to advance the business to the next level. Also, any special licensing, educational or other requirement necessary shall have been secured by the Entrant prior to Entry Period.
PHASE 1:
Between 12:01 am Eastern Time (“ET”) on January 11, 2008 and 11:59 p.m. ET on April 30, 2008 (the “Entry Period”), to enter, an Entrant must visit www.bigbusinesscontest.com where he/she will be required to complete a short survey of questions and then submit the essay of no more than 500 words describing how to take the business to the next level via an online application with simple instructions (the “Entry”). The application must be completed in its entirety. Failure to comply will result in disqualification. Entrants will have the ability to review, spell check, and edit their essays for seven (7) days following submission. Entries must be submitted by 11:59 p.m. Eastern Time (“ET”) on April 30, 2008 to be eligible.
Submission Requirements: Limit one (1) Entry per business. All Entries must be submitted in English. Entries generated by script, macro or other automated means are void. All Entries become the sole property of the Sponsors and will not be returned. Entry must be original work owned 100% by the business, be in keeping with the Sponsors’ image and may not be offensive or inappropriate, as determined by the Sponsors in their sole discretion, nor can it defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or property rights or any other third party rights. Sponsors reserve the right to disqualify any Entry they deem to be offensive, inappropriate, not in keeping with Sponsors’ image or not in compliance with these Official Rules, in their sole discretion.
Judging and Finalist Selection: The essay portion of all eligible Entries received will be judged in four (4) basic categories with each category representing a range of between 0 and 25 points possible. Each category potentially represents 25% of the total score with a combined total of 100 points possible per essay. The categories are:

Eloquence and Intellectual Honesty
Originality and Creativity
What are your business objectives?
The essay should describe how the business’s concept for taking the business to a next level is original while elaborating on the creative ways in which the business intends to meet its objectives. Financial freedom is important yet not the only objective we hope to recognize. Examples of other objectives might include community outreach, expansion of an existing business or achieving a better work-life balance for the Entrant and, if applicable, employees of the business.
Judges will include qualified individuals from MM and AB staff. In the event of a tie, an additional, “tie-breaking” judge will determine the Semi-finalist(s) based on the criteria listed herein. Sponsors intend to select fifteen (15) Semi-finalists, but reserve the right to choose fewer than fifteen (15) Semi-finalists if, in their sole discretion, they do not receive a sufficient number of eligible and qualified entries.
Semi - Finalist Notification: Potential Semi-Finalists will be notified by phone between May 2-5, 2008 and will be required to provide proof of identity and of a valid social security number or Federal ID number in a form acceptable to Sponsors, as well as complete an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law) (“Affidavit/Release”) and any other documents required by Sponsors, which must be returned to Sponsors within seven (7) days of date of notification or by May 10, 2008, whichever comes first. In addition, each potential Semi-Finalist must agree that Sponsors may, in their sole discretion, complete a background check, including but not limited to, civil, financial, driver-history, any drug or alcohol abuse, criminal convictions, law suits — either settled or still pending. Return of any notification as undeliverable, failure to execute and return requested documentation within seven (7) days of issuance or by May 10, 2008 (whichever comes first), Sponsor’s inability to contact a potential Semi-Finalist within a reasonable time period or noncompliance with these Official Rules by a potential Semi-Finalist will result in disqualification and, at Sponsors’ discretion, and time permitting, the next runner-up may be notified.
Phase 2:
Each Semi-finalist will be asked to submit a Digital Video Story Entry in which he/she further describes aspirations of its business. The Digital Video Story Entry must be submitted by U.S. mail to:

Digital Video Story Entries submitted by U.S. mail must be postmarked no later than June 2, 2008.
Submission Requirements: Digital Video Story Entries can be no more than five (5) minutes in length. All Digital Video Story Entries must be submitted in English. Digital Video Story Entries must be submitted as DVD, VHS or Micro Cassette. Neither MM or AB will offer technical assistance in the production of any Digital Video Story Entry. Digital Video Story Entries and all rights thereto, including copyright, become the sole property of the Sponsors and will not be returned. Each Digital Video Story Entry must be the Semi-Finalist’s own original work, be in keeping with the Sponsors’ image and may not be offensive or inappropriate, as determined by the Sponsors in their sole discretion, nor can it defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or property rights or any other third party rights. Sponsors reserve the right to disqualify any Digital Video Story Entry they deem to be offensive, inappropriate, not in keeping with Sponsors’ image or not in compliance with these Official Rules, in their sole discretion. In the event any Digital Video Story Entry contains elements not owned by Semi-Finalist, such as buildings, logos or persons other than Semi-Finalist, Semi-Finalist must have written permission in a form acceptable to MM and AB for Sponsors and their respective designees to use such elements for advertising and promotional purposes and as otherwise set forth herein and, if requested, be able to provide such written permission to Sponsors.

The Digital Video Story Entry should mirror the essay portion of your Entry using visual and audio techniques to describe the creative ways in which you will meet your business objectives. Attention to the overall visual aesthetic is important, yet we recognize that many submissions will be amateur productions. Therefore originality will be key.
Judges will include qualified individuals from MM and AB staff. In the event of a tie, an additional, “tie-breaking” judge will determine the potential “Finalists” based on the criteria listed herein. Sponsors intend to select three (3) potential Finalists, but reserve the right to choose fewer than three (3) potential Finalists if, in their sole discretion, they do not receive a sufficient number of eligible and qualified Digital Video Story Entries.
Finalist Notification: Potential Finalists will be contacted between on June 12 & 13, 2008 to schedule a phone interview with Judges (as described below). Sponsor’s inability to contact a potential Finalist within a reasonable time period or noncompliance with these Official Rules by a potential Finalist will result in disqualification and, at Sponsors’ discretion, and time permitting, the next runner-up may be notified.
Judging and Winner Selection: Phone interviews will be held during the week of June 16 – 20, 2008 with each Finalist. Phone interviews will be judged equally in the following four (4) basic categories with each category representing a range of between 0 and 25 points possible. Each category potentially represents 25% of the total score with a combined total of 100 points possible per interview. The categories are:

Dedication

In the event of a tie, an additional, “tie-breaking” judge will determine the potential winners based on the criteria listed herein. Sponsors intend to select two (2) potential winners, but reserve the right to choose fewer than two (2) potential winners if, in their sole discretion, they do not receive a sufficient number of eligible and qualified interviews.
Winner Notification: Two (2) potential winners will be notified on July 2, 2008 by phone and must agree to attend a special event in San Francisco tentatively scheduled to take place on August 7 & 8, 2008 as condition of being deemed a “Winner”. If Sponsors are unable to contact any potential Winner within a reasonable time period or any potential Winner cannot attend such event, he/she may be disqualified and, at Sponsors’ discretion and time permitting, the runner-up will be notified. Potential Winners, by accepting prize, understand that a significant time commitment is required during the Business Transformation Process as well as potential travel in addition to the special event mentioned above. The number of times and availability to meet with the MM team is dependant on the scope of the Winner’s business aspiration. If any potential Winner cannot be available to travel on dates to be reasonably agreed upon between Sponsors and such potential Winner, he/she may be disqualified and, at Sponsors’ discretion and time permitting, the runner-up may be notified. Failure, at any time, of a Winner to comply with the terms of these Official Rules will result in disqualification and, at Sponsors’ discretion and time permitting, the runner-up will be notified.
PHASE 3:
Each Winner will attend the special event in San Francisco tentatively scheduled to take place August 7 & 8, 2008 (see complete travel details below). This event will begin the Business Transformation Process described more fully below. The Business Transformation Period is tentatively scheduled to take begin on August 10, 2008, to be completed on December 20, 2008.
All prizes will be awarded in compliance with the applicable business’s policies. Sponsors reserve the right to award a prize in the name of the President or Chief Executive Officer of a business if such business is a partnership, corporation or other legal entity or as otherwise in compliance with a business’s policies.
SEMI-FINALIST PRIZE DESCRIPTION
Each Semi-Finalist will receive:

Course Two: Grow Your Wealth: How to Strategically Manage Your Net Worth and Invest for Maximum Profits with Minimum Risk or Effort. Includes approximately 15 hours of audio and 15 hours of video training plus comprehensive manual. Course is available for download or streaming via the web.
And, four (4) tickets to “Financially Fluent”, an intensive two-day financial workshop. These tickets are valid for up to 12 months after the prize is awarded and may not be sold or otherwise traded. Each Semi-Finalist must provide MM at least 21 days advance notice of the his/her intention of using the tickets including giving MM the names and contact information of the people who will be using the tickets. (The tickets only cover the event tuition and do not cover any travel or other expenses, which are the sole responsibility of the Semi-Finalist and/or any individual who uses the tickets on behalf of the Semi-Finalist).
Total approximate retail value of each Semi-Finalist Prize is $997
GRAND PRIZE DESCRIPTION:
Two winning businesses will undergo a complete 120-day business and wealth transformation process with several business and wealth advisors. Exact number of hours over the course of the 120 days will be determined by Sponsors, in their sole discretion. The Grand Prize also includes one complimentary admission for principal or founder of winning businesses to Maui Mastermind™, a 5 day business and wealth retreat. Prize includes resort accommodations for 5 nights, meals (5 breakfast, 5 lunch, 3 dinners), plus $5,000 cash to offset travel and other expenses (Airfare not included).
Business and wealth transformation process goes as follows:
Upon attendance at the Maui Mastermind Event the MM team, whether a GPW chooses to attempt to pursue the business aspiration or not, he/she will have completed the contest offerings and any further steps to explore, maintain endeavors shall be solely up to the contest winner and not the responsibility of MM or AB.
Important Note: Entrants understand that the Business Transformation Process and other services provided to the Winner as outlined in these Official Rules are not a guarantee that the Winner will be established in a new work endeavor following the 120-day Transformation Process, or that the Winner will be successful in his or her new endeavor. MM shall be under no obligation to continue to work with the Winner after the completion of the Business Transformation Process.
TRAVEL:
If required to facilitate the Business Transformation Process, as determined by Sponsors in their sole discretion, a Winner may be required to travel to location(s) designated by Sponsors. Travel, if provided by the Sponsors, will include round-trip coach-class air transportation for Winner from a major U.S. gateway airport nearest Winner’s residence (as determined by Sponsors in their sole discretion) to destination city and standard hotel accommodations for specified number of nights (one (1) room, double occupancy) in destination city. Winner is responsible for all costs and expenses not specified herein as being awarded, including, without limitation, ground transportation, meals and gratuities. Winner is responsible for obtaining all travel documents required by airline. Travel arrangements must be made through Sponsors’ agent and on a carrier of Sponsors’ choice.
Additional travel throughout the transformation process is at the sole discretion and expense of the Winner.
Winners may have the opportunity to be featured on AllBusiness.com as well as other media outlets, as determined by Sponsors in their sole discretion.
Each Winner is solely responsible for the tax liability incurred by acceptance of the prize. Please note that a Winner’s tax liability in connection with the acceptance of the prize may exceed $5000.
Approximate Retail Value of prize: $22,500, including but not limited to the $5,000 cash award, depending on the nature of a winner’s business aspiration.
GENERAL PRIZE CONDITIONS:
All prize details are at the sole discretion of the Sponsors, including, without limitation, all details of the Business Transformation Process. Sponsors reserve the right to disqualify any Winner who acts in an unprofessional or inappropriate manner or in any way that reflects unfavorably on Sponsors, as determined by Sponsors in their sole discretion. Winner is responsible for all federal, state and local taxes, as well as any other costs and expenses associated with acceptance and use of the prize not specified herein as being awarded. Prizes are not transferable, substitutable or redeemable for cash. Sponsors reserve the right to substitute a prize (or portion thereof) of comparable or greater value, at their sole discretion. In the event Sponsors are unable to award any portion of prize for whatever reason, no compensation or substitution will be provided, however, the balance of prize package will be awarded without further obligation or liability to Sponsors.
OTHER GENERAL CONDITIONS:
OWNERSHIP/USE: By submitting an entry, Entrant agrees Sponsors shall own the Entry, and, if applicable, Digital Video Story Entry and any other submissions by Entrant (collectively, the “Materials”), submitted (including all rights embodied therein, including but not limited to the copyright) and that they and their respective designees may exploit, edit, modify, and distribute the Materials and all elements of such Materials, including, without limitation, the names and likenesses of any persons or locations embodied therein, in any and all media now known or not currently known, throughout the world in perpetuity without compensation, permission or notification to Entrant or any third party.
By participating, each Entrant on his or her own behalf and on behalf of the business on whose behalf they are entering agrees: (a) to abide by these Official Rules and decisions of the Sponsors and judges, which shall be final and binding in all respects relating to this Contest; (b) to release, discharge and hold harmless Sponsors, promotional partners, and their respective parents, affiliates, subsidiaries, distributors, retailers, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons or to Entrant (or any affiliate, employee, director, officer or agent), including, without limitation, death, property, or employment (whether termination of existing employment or failure to take business to the next level) resulting, in whole or in part, directly or indirectly, from participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of an awarded prize (including but not limited to any travel or activity related thereto); (c) to be available for press conferences, personal appearances and other services at times and places designated by MM and AB without additional compensation; and (d) to the use of his/her name, voice, performance, photograph/video (including but not limited to his/her Entry and, if applicable, Digital Video Story Entry), image and/or likeness, and the name of the business and its affiliated entities for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsors and their designees, without compensation, notification or permission, unless prohibited by law, and to execute specific consent to such use if asked to do so. Sponsors reserve the right to require other officers, directors or owners of any business selected as a Semi-Finalists to provide any further consents, approvals, guarantees and releases Sponsors deem necessary or appropriate for continued participation in the Contest and further consideration of business for any prizes hereunder, including, without limitation, the Business Transformation Process.
Released Parties are not responsible for: late, lost, damaged, delayed, inaccurate, misdirected, incomplete, illegible, undeliverable, destroyed, mutilated, garbled, stolen or postage-due Entries, Digital Video Story Entries or mail; the incorrect or inaccurate capture of entry or other information or the failure to capture any such information; any lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; other errors of any kind whether typographical, printing, human, mechanical, electronic or network relating to or in connection with this Contest, regardless of the cause, including, without limitation, errors which may occur in connection with the administration of the Contest, the processing or judging of Entries or Digital Video Story Entries or interviews, the announcement of the prizes, the Business Transformation Process or in any Contest-related materials. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participating in this Contest or downloading materials from or use of the web site. Sponsors may disqualify anyone from participating in the Contest or winning a prize if, in their sole discretion, they determine that such person is attempting to undermine the legitimate operation of the Contest by cheating, deception or other unfair playing practices, or intending to annoy, abuse, threaten or harass any other Entrant or Sponsors’ representatives and void all associated Entries. Any attempt to deliberately undermine the legitimate operation of the Contest may be in violation of criminal and/or civil laws and, should such an attempt be made, Sponsors reserve the right to seek damages and other remedies (including attorneys’ fees) from any such individual or business to the fullest extent of the law, including criminal prosecution. Sponsors reserve the right in their sole discretion to cancel or suspend any portion of the Contest should causes corrupt the administration, security or proper play of the Contest and, if terminated, judge all eligible, non-suspect Entries received for the applicable Phase up to time of such impairment using the judging procedure described above.
DISPUTES: Except where prohibited, Entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in New York State. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrant’s rights and obligations, or the rights and obligations of the Sponsors in connection with the Contest, shall be governed by, and construed in accordance with, the laws of New York State without giving effect to any choice of law or conflict of law rules (whether of New York State or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than New York State.

ADDITIONAL REQUIREMENTS FOR FINALIST AND/OR WINNERS:
A. Each Semi-Finalist must provide proof of identity and of a valid social security number or Federal ID number in a form acceptable to Sponsors.
B. Each Semi-Finalist must execute and return an Affidavit/Release which releases the Released Parties from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of an awarded prize (including but not limited to any travel or activity related thereto) and permits the Released Parties to use his/her voice, performance, photograph/video (including but not limited to his/her Entry and, if applicable, Digital Video Story Entry), image and/or likeness, and the name of the business and its affiliated entities for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsors and their designees, without compensation, notification or permission, unless prohibited by law. Sponsors reserve the right to require other officers, directors or owners of any business selected as a Semi-Finalists to provide any further consents, approvals, guarantees and releases Sponsors deem necessary or appropriate.
D. Each Semi-Finalist and/or Winner (as applicable) must timely execute and return the Affidavit/Release, tax and any other forms requested by the Sponsors.
E. Each Winner is solely responsible for the payment of all taxes resulting from participation in the special event in San Francisco and from the acceptance of the prize. The Sponsors reserve the right to withhold any taxes as required by applicable law.
F. Failure of a Semi-Finalist, Finalist or Winner to comply with all of the requirements in these Official Rules may result in disqualification and, if a Winner, forfeiture of the prize at the Sponsors’ sole discretion.
