8.03[3]  Employee Confidentiality and Invention Assignment Agreement

In consideration of my employment with __________________ or its subsidiary (the "Company"), I hereby represent to, and agree with the Company as follows:

1. Company Business. I understand that the Company is engaged in a continuous program of research, development, production and marketing in connection with its business and that, as an essential part of my employment with the Company, I may be expected to make new contributions to and create valuable inventions for the Company. During the period of my employment, I will not engage in any research or business activity for any other person or firm without first obtaining the Company's written consent.

2. Inventions. From and after the date I first became employed with the Company, I will promptly disclose in confidence to the Company all inventions, improvements, designs, original works of authorship, formulas, processes, compositions of matter, computer software programs, databases, and other valuable information ("Inventions"), whether or not patentable, copyrightable or protectable as trade secrets, that are made or conceived or first reduced to practice or created by me, either alone or with others, during the period of my employment [and for a period of ________________ thereafter], whether or not in the course of my employment. I acknowledge that all such Inventions are the sole property of the Company, and that all such original works of authorship, to the extent copyrightable, are "works made for hire" as that term is defined in the United States Copyright Act.
