This is a sample agreement where a company hires an employment staffing agency to provide temporary employees with the understanding that a temporary employee may subsequently be offered a full-time position. Initially, payment to the staffing agency is on an hourly basis. If a temporary employee is then hired as a full-time employee, there will be an additional fee paid to the staffing agency. The form is pro-employer oriented.

STAFFING AGENCY AGREEMENT

(Temporary Employee)

This agreement (the "Agreement") is by and between ________________, a _____________ corporation (hereinafter "Client"), and the undersigned staffing agency (hereinafter the "Agency").

1.      SERVICES. Agency will submit names and résumés of qualified candidates (“Candidates”) for the position with the skills and/or educational background described in Exhibit A of this Agreement. Agency understands that Client engages Agency on a non?exclusive basis and Client may simultaneously engage other staffing agencies.

2.      PAYMENT AND INVOICING TERMS

2.1      Initial Payments

    (a) Hourly Rate . If Agency provides a Candidate previously not known by Client, and said Candidate is hired by Client on a temporary basis, Client will pay Agency the amount set forth in Exhibit A for the position described. The Candidate will remain the employee of Agency during this time. The Candidate will be required to execute Client forms and agreements (including a Confidentiality Agreement) supplied by Client prior to commencement of any work.

    (b) Invoicing . Invoices will submitted to Client by Agency on a weekly basis, with payment to Agency to be made within seven (7) business days of receipt of a valid invoice.

2.2     Contingency Fee Payment if Candidate is Hired by Client

    (a) Amount of Payment. Agency’s contingency fee will be equal to __% of the total scheduled Candidate base salary (not including bonus or benefits) for the first year in Client’s employ. If Agency initially placed Candidate with Client on a temporary basis for ____ days prior to Client making a written offer of employment, then the contingency fee payment will be reduced by ____% of the fees paid by Client to Agency under paragraph 2.1 above.

    (b) Invoicing. Invoices will be submitted when and if Candidate accepts a written offer of employment by Client. Payment to Agency is due 60 days after the date Candidate begins employment with Client, so long as Candidate has remained as an employee for such 60 day period.

    (c) Replacement Candidate. Agency will provide a free replacement Candidate for the position set forth in Section 1 (or an alternative position designated by the Client) should the Candidate leave Client’s employ within his or her first year of employment with Client.

3.      CONFIDENTIALITY AND OWNERSHIP.
