This Word document is a legally-written promise from one person or corporation to another to pay them a fixed sum of money or to exchange the note for a sum of stock equal to the promised amount. There are many situations where growing companies with limited cash flow require an influx of monies from outside parties. In situations such as this, a convertible promissory note is often used to guarantee repayment of the monies with interest and, if the note holder so chooses, the ability to convert the note into the company's common stock at a predetermined price.
