ENGLEWOOD, Colo.--(BUSINESS WIRE)--April 11, 1995--CIBER, Inc. (NASDAQ:CIBR) today announced the execution of a letter of intent to merge privately-held Spencer & Spencer Systems, Inc., St. Louis, Mo. into CIBER.

This acquisition is anticipated to be accounted for on a tax free exchange of stock basis, under the "pooling of interests" accounting method. The last quarter of fiscal 1995 will reflect a charge related to closing this transaction, making it dilutive to 1995 and prior periods. However, the combination will be accretive to both calendar 1995 and fiscal 1996 results.
