Foilmark, Inc. (Nasdaq National Market: FLMK), a global marketer and supplier of value-added hot stamping foils, holographic security and packaging products and image transfer systems, today announced financial results
for the third quarter and nine months ended March 31, 2001. See the attached tables.For the third quarter, the Company reported revenues of $16.6 million and net income of $520,258 or $.06 per diluted share. This compares to revenues of $16.9 million and net income of $1,000,780 or $.12 per diluted share in the third quarter of last year.
As announced on April 11, 2001, Illinois Tool Works Inc. (NYSE:ITW) and Foilmark, Inc. (Nasdaq:FLMK) signed a definitive merger agreement pursuant to which ITW will acquire Foilmark. On April 20, 2001, ITW, through a subsidiary, commenced a cash tender offer to purchase all of the outstanding shares of common stock of Foilmark at a price of $6.36 per share. The transaction is subject to customary conditions, including the valid tender of at least a majority of Foilmark's outstanding shares of common stock (on a fully diluted basis). Following the expiration of the initial tender offer period, currently scheduled to occur at midnight on May 17, 2001, it is anticipated that any shares of common stock not purchased in the tender offer will be acquired for the same price in cash in a second-step merger.
