COLOGNE, Germany -- On 28 February 2007, Suzlon Windenergie GmbH, Cologne, Germany, published the offer document for its voluntary public takeover offer to all shareholders of REpower Systems AG, Hamburg, Germany, to acquire all non-par value bearer shares (ISIN DE0006177033) in REpower Systems
By 10 April 2007, 13:00h (Central European Time) ("Reference Date"), Suzlon Windenergie GmbH received declarations of acceptance for in total 52 shares. This corresponds to about 0.001 % of the share capital and the voting rights in REpower Systems AG.
On the Reference Date, Suzlon Windenergie GmbH does neither hold any REpower Shares nor are any REpower Shares attributed to it.
SE Drive Technik GmbH, Bochum, Germany, a person acting in concert with Suzlon Windenergie GmbH, holds on the Reference Date 22,168 REpower Shares, corresponding to 0.27% of the share capital and the voting rights in REpower Systems AG. These voting rights are attributed pursuant to sec. 30 para. 1 sentence 1 no. 1 WpouG to each of AE-Rotor Holding B.V., Hengelo Ov, The Netherlands, Suzlon Wind Energy Limited, London, United Kingdom, Suzlon Energy Limited, Port Louis, Mauritius, Suzlon Energy Ltd., Ahmedabad, India, and to each member of the SUZLON Shareholder Group (as defined in section 5.4.4 of the offer document and as listed in annex 5.8, section 2 of the offer document), each of them acting in concert with Suzlon Windenergie GmbH.
Moreover, SE Drive Technik GmbH entered - as already notified on 10 April 2007 - into agreements on 5 April 2007 entitling SE Drive Technik GmbH to demand the transfer of in total 627,000 REpower Shares against payment of a consideration of up to EUR 150.00 per REpower Share. This corresponds to 7.7% of the share capital and the voting rights in REpower Systems AG. Thereof, the transfer of 418,705 REpower Shares can be demanded against payment of a consideration of EUR 150.00. The transfer of 208,295 REpower Shares can be demanded against payment of a consideration of EUR 136.00.
Martifer Energy Systems SGPS, S.A., Oliveira de Frades, Portugal, a person acting in concert with Suzlon Windenergie GmbH and a subsidiary of Martifer SGPS, S.A., Oliveira de Frades, Portugal, holds 1,541,118 REpower Shares on the Reference Date, corresponding to 18.98% of the share capital and the voting rights in REpower Systems AG.
Martifer SGPS, S.A., a person acting in concert with Suzlon Windenergie GmbH, is entitled to 2,060,788 REpower Shares in aggregate on the Reference Date, corresponding to 25.39% of the share capital and the voting rights in REpower Systems AG. 1,541,118 voting rights thereof, corresponding to 18.98% of the share capital and the voting rights in REpower Systems AG, are attributed to Martifer SGPS, S.A. pursuant to sec. 30 para. 1 sentence 1 no. 1 WpouG.
Those 2,060,788 voting rights in aggregate are attributed pursuant to sec. 30 para. 1 sentence 1 no. 1 WpouG to each of MTO SGPS, S.A., Oliveira de Frades, Portugal, Carlos Martins, Ilhavo, Portugal, Dr. Jorge Martins, Viseu, Portugal, Mota-Engil SGPS, S.A., Oporto, Portugal, Mota GESTEaO E PARTICIPACOES, SGPS, S.A., Oporto, Portugal, F.M. - SOCIEDADE DE CONTROLO, SGPS, S.A., Oporto, Portugal, and to each member of the MOTA Shareholder Group (as defined in section 5.7.2 of the offer document and as listed in annex 5.8, section 5.1 of the offer document), each of them acting in concert with Suzlon Windenergie GmbH.
The total number of REpower Shares for which the takeover offer was accepted by the Reference Date and the number of REpower Shares held by or attributed to Suzlon Windenergie GmbH or any person acting in concert with it and the number of REpower Shares whose transfer can be demanded by Suzlon Windenergie GmbH or a person acting in concert with it totals on Reference Date 2,710,008 shares (whereas each voting right was counted only once). This corresponds to 33.38% of the share capital and the voting rights in REpower Systems AG on the Reference Date. In case of a full implementation of the capital increase which was resolved upon by the management board of REpower Systems AG with the approval of its supervisory board on 20 March 2007, this would correspond to 30.35% of the share capital and the voting rights in REpower Systems AG after the capital increase has become effective.
