Intermec Technologies Corp., a UNOVA Inc. (NYSE:UNA) company, today announced that UNOVA has signed a letter of intent with TransCore Inc., of Harrisburg, Penn., for the purchase of Intermec's

Amtech Transportation Systems group, based in Dallas, Texas.

The transaction, subject to approval by federal anti-trust authorities and by the TransCore and UNOVA boards of directors, is expected to close by the end of June 2000. Financial details were not disclosed.

TransCore provides commercial enterprises, and state and local government agencies with information technologies, management systems and services to manage their transportation operations. Amtech is one of the world's leading providers of wireless identification, tracking and monitoring technologies for the intelligent transportation industry, known as ITS. Amtech provides products that meet automatic equipment identification standards set by transportation groups in maritime, U.S. rail and trucking, as well as European and Asian rail industries. The company has more than 550 employees in 14 offices throughout the United States and abroad.

As part of the agreement, TransCore will become the exclusive reseller of Intermec's Intellitag(R) RFID (radio frequency identification) technology for the electronic toll, traffic management and other ITS-related market segments. Intermec also will develop next-generation RFID tags and ITS equipment for TransCore based on its Intellitag technology. In addition, Intermec will retain a minority equity position in the combined company. Intermec will continue to offer Intellitag technology to customers in supply chain markets.

Intermec previously moved its Intellitag-related technology, product and application development activities from Amtech into its own organization. Intellitag's supply chain applications now are integrated throughout Intermec's organization. Intermec's product operations remain responsible for combining RFID with conventional bar code technology.

According to TransCore, the company plans to continue to operate Amtech's engineering and manufacturing facilities in Albuquerque, New Mexico. In addition, TransCore expects to leverage the existing integration, sales, marketing, operations and other support groups within Amtech's Dallas office for expanding coverage in multiple transportation markets worldwide.

According to the U.S. Department of Transportation, ITS solutions such as electronic toll collection increase toll lane capacity by 250 percent or more, cutting operating expenses by 90 percent, and reduce fuel consumption by 6 to 12 percent and emissions by 45 to 80 percent. Electronic freeway management systems such as ramp metering have reduced crashes by 24 to 50 percent, enabling highways to handle 8 to 22 percent more traffic at speeds 13 to 48 percent faster than pre-existing congested conditions. New RFID technology offers a broader range of applications that will accelerate adoption of ITS solutions.

The ITS industries historically have been a prime user of wireless RFID products, but recent technology advances, such as Intermec's Intellitag product generation, have greatly reduced systems' cost and have begun to significantly broaden the market into other commercial areas. Independent research estimates the global 2000 RFID market at $1.4 billion, including readers, tags, software and service. The market is expected to grow at about 25 percent annually.
