Shareholders approved the following:

1. The election of Todd Wille, Kurt Garbe and Steven Whiteman as Directors of the Company for a one-year term.

2. The approval of the Company's 2001 Stock Option Plan.

3. The amendment to the Company's Employee Stock Purchase Plan to increase the number of shares of common stock reserved for issuance from 6,200,000 to 7,200,000.
