Mr. Pozen is Chairman of MFS Investment Management. As of June 30, 2007, MFS managed more than $200 billion in assets for over five million investor accounts worldwide. He was named to his current position in February 2004. Mr. Pozen was recently named chairman of a new SEC Advisory Committee on improving financial reporting. He also was a member of two private sector commissions on global competition.
Cynthia Cooper * WorldCom Whistleblower

Ms. Cooper is most well-known for her role in uncovering the corporate fraud at WorldCom--to date the largest corporate fraud in history. She was named one of Time magazine's 2002 Persons of the Year after detecting and reporting the fraud. A Certified Public Accountant in the state of Georgia, a Certified Information Systems Auditor and a Certified Fraud Examiner, Ms. Cooper is also the author of Extraordinary Circumstances: The Journey of a Corporate Whistleblower.
Robert H. Herz * Chairman, Financial Accounting Standards Board

Mr. Herz was appointed Chairman of the Financial Accounting Standards Board (FASB) in 2002. Prior to joining FASB, Mr. Herz was a senior partner with PricewaterhouseCoopers, and also served as a part-time member of the International Accounting Standards Board. Mr. Herz is both a Certified Public Accountant and a Chartered Accountant, and has authored numerous publications on a variety of accounting, auditing and business subjects, including The Value Reporting Revolution: Moving Beyond the Earnings Game, which he co-authored.
Conrad Hewitt * Chief Accountant, U.S. Securities & Exchange Commission

Mr. Hewitt was appointed by SEC Chairman Christopher Cox as Chief Accountant in 2006. Mr. Hewitt was previously chairman of the Audit Committee of Varian, Inc. He also chaired the Audit Committee of North Bay Bancorp and chaired both the Compensation Committees and the Audit Committees of S & P Co. and Pabst Brewing Co. From 1995 to 1998, Mr. Hewitt served as California Superintendent of Banking and Commissioner of the California Department of Financial Institutions.

Latest Developments in Section 404 Compliance
As companies, large and small, continued to face implementation challenges with regard to Sarbanes-Oxley Section 404 Internal Control compliance, the SEC and the PCAOB responded. In the spring of 2007, the SEC and the PCAOB issued management guidance as well as Auditing Standard No. 5, as new guidance for Section 404 compliance to improve the effectiveness and efficiency of the implementation process. This session will provide updates from the SEC and PCAOB as well as auditor and preparer perspectives on implementation of Section 404 of the Sarbanes Oxley Act.

Since FAS No. 133, Accounting for Derivative Instruments and Hedging Activities was originally issued in 1998, it has been the cause of much discussion amongst auditors and management, as well as the recent focus of many restatements. This session will look at current FASB activity in this area and provide experiences from companies who have recently dealt with FAS 133 related issues. The session will include items for consideration when applying FAS 133, and valuable lessons learned.
