Nash Finch Reports Annual Meeting Actions.

MINNEAPOLIS--(BUSINESS WIRE)--May 14, 2002

Nash Finch Company (Nasdaq:NAFC), a leading national retail and food distribution company headquartered here, today announced voting results from its annual meeting of shareholders held on May 14, 2002. Three incumbent

directors were elected to serve for additional terms and four proposals were approved.

Carole F. Bitter, President and Chief Executive Office of Harold Friedman, Inc., John H. Grunewald, Retired Executive Vice President - Finance and Administration of Polaris Industries, Inc., and William R. Voss, Managing Director of Lake Pacific Partners, LLC were all elected to three-year terms expiring in 2005. Shareholders overwhelmingly approved the directors' election, with each receiving no less than 94% of the shareholder vote. The board of directors consists of ten members.

In other actions, shareholders approved two proposals regarding the issuance of company stock for compensation and benefit plans. The first proposal amended the company's 2000 Employee Stock Incentive Plan to increase the number of shares reserved for issuance. The second proposal increased the number of shares reserved for issuance under the Non-Employee Director Stock Option Plan. An additional proposal to approve the Nash Finch Performance Incentive Plan, authorized offering performance-related incentives to certain employees, was passed by shareholders. Finally, a proposal to amend the Restated Certificate of Incorporate to increase the number of shares of common stock, par value $1.66 2/3 per share, so that the company is authorized to issue 50,000,000 shares, also received shareholder approval.
