TriNet Mortgage Securities Trust II Series 1995Affirmed `AAA'.

NEW YORK--(BUSINESS WIRE)--Nov. 19, 1999--

TriNet Mortgage Securities Trust II's commercial mortgage pass-through certificates series 1995 $19.4 million class A-1 certificates and $25.0 million class A-2 certificates are affirmed at `AAA' by Fitch IBCA. The affirmations follow Fitch IBCA's annual

review of the transaction that closed on Jan. 17, 1995.

Fitch IBCA's debt service coverage ratio (DSCR) on the class A-1 certificates has increased from 3.79 times (x) at origination to 8.76x as of June 30, 1999. DSCR on the class A-2 certificates has increased from 2.69x at origination to 3.83x. The classes A-1 and A-2 certificates are sequentially paid. Fitch IBCA's DSCR uses borrower provided net operating income, adjusted for annual leasing commission reserve and a hypothetical refinance mortgage constant of 9.5%.

In August 1999, a $10.6 million (150% of the allocated loan amounts) payment was applied to the senior class A-1 certificates to release the two GATX properties. The release decreased the class A-1 certificate balance from $30.0 to $19.4 million. Previously, TriNet paid $35 million to retire the classes A-3, A- 4 and B certificates and released the MacFrugal's warehouse with a $19.9 million payment that was applied to the senior class A-1 certificates.

The transaction has two evergreen reserve accounts. A $2 million leasing commission account to fund leasing commissions and a $3 million reserve account to fund capital expenses, re-leasing costs and debt service payments.

Currently, the security for the transaction is 16 cross- collateralized and cross-defaulted triple net leased, single tenanted office and industrial properties, leased to 13 corporate tenants. All properties are 100% occupied and have been since origination. The properties are located in eight states. By allocated loan amount, California and Illinois each has 23.2%; Florida, Minnesota, New York and Ohio have, in aggregate, 37.5%; and Tennessee and Texas have, in aggregate, 16.1%.
