What Is SEC Form 8-K and Where Can I Find It?

SEC Form 8-K is the "current report" that is used by most public companies to report the occurrence of any material events or corporate changes which are of importance to investors or security holders and previously have not been reported by the company.

Form 8-K provides more current information

on certain specified events than would SEC Form 10-Q (report filed quarterly by most public companies, including unaudited financial statements and a continuing view of the company’s financial position during the year) or Form 10-K (annual report filed by most public companies that provides a comprehensive overview of the company’s business).

You can find links to PDF versions of SEC public forms and many of the rules, regulations, and schedules associated with these forms at the SEC Forms List Web site. You can find SEC Form 8-K and General Instructions at the SEC Forms List Web site.
